1. Acceptance of Terms

By accessing and using the e-Lister platform operated by Marketmate Solutions Ltd ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

e-Lister is a software-as-a-service platform that provides:

• AI-powered product description generation for multiple marketplaces
• Bulk product listing management across Temu, Amazon, and eBay
• Integration with eCommerce platforms (Shopify, BigCommerce, Shopline)
• CSV import and export functionality
• Professional dropshipping services for Temu marketplace

3. User Accounts and Registration

3.1 Account Creation

To use our service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into this agreement. By using our service, you represent and warrant that you meet these requirements.

4. Payment Terms

4.1 Pricing Model

Our service operates on a pay-as-you-go token system with a monthly base fee of £20. This fee includes a monthly allocation of tokens that expire at the end of each billing cycle. Additional tokens can be purchased separately with a 6-month expiration period.

4.2 Payment Processing

Payments are processed through secure third-party payment processors. You authorize us to charge your designated payment method for all fees incurred. All fees are non-refundable except as expressly stated in these terms.

4.3 Token Usage

Tokens are consumed based on usage of AI services, API calls, data storage, and image processing. Monthly tokens expire at the end of each billing cycle. Additional purchased tokens expire after 6 months from the date of purchase.

5. User Responsibilities

5.1 Content Accuracy

You are responsible for the accuracy and legality of all product information, descriptions, and images you provide. You warrant that you have the right to use and distribute all content you upload to our platform.

5.2 Marketplace Compliance

You are responsible for ensuring that your product listings comply with the terms of service, policies, and regulations of each marketplace where you publish. We do not guarantee that generated content will meet all marketplace requirements.

5.3 Prohibited Uses

You agree not to use our service to:

• Upload or distribute illegal, harmful, or infringing content
• Violate any applicable laws or regulations
• Interfere with or disrupt our service or servers
• Attempt to gain unauthorized access to our systems
• Use our service for any fraudulent or deceptive purposes

6. Intellectual Property Rights

6.1 Our Rights

The e-Lister platform, including all software, algorithms, and AI models, is owned by Marketmate Solutions Ltd and protected by intellectual property laws. You are granted a limited, non-exclusive license to use our service according to these terms.

6.2 Your Content

You retain ownership of your original content. By using our service, you grant us a limited license to process, store, and generate derivative content (such as AI-generated descriptions) for the purpose of providing our service.

6.3 Generated Content

AI-generated product descriptions created by our service are provided to you for your use. However, we cannot guarantee the uniqueness or originality of generated content, and you are responsible for reviewing and approving all content before publication.

7. Dropshipping Services

7.1 Service Scope

Our dropshipping service includes Temu account management, compliance handling, customer service, and listing optimization. This service is provided under separate agreement and pricing terms.

7.2 Client Responsibilities

When using our dropshipping service, you remain responsible for timely product shipping and providing valid tracking numbers. Failure to meet these obligations may result in service termination.

8. Service Availability and Modifications

We strive to maintain high service availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of our service with reasonable notice. We may also update these terms from time to time, and continued use constitutes acceptance of any changes.

9. Limitation of Liability

To the maximum extent permitted by law, Marketmate Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our service.

10. Indemnification

You agree to indemnify and hold harmless Marketmate Solutions Ltd from any claims, damages, or expenses arising from your use of our service, violation of these terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement at any time with reasonable notice. Upon termination, your access to the service will cease, and any outstanding fees will become immediately due. We may retain your data for a reasonable period as outlined in our Privacy Policy.

12. Governing Law and Dispute Resolution

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or your use of our service shall be resolved through binding arbitration or in the courts of England and Wales.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The unenforceable provision will be replaced with an enforceable provision that most closely reflects the original intent.
